- Obligations for using ASTRx Platform
As an instructor, you are responsible for all content you post, including lectures, quizzes, coding exercises, assignments, and announcements (collectively referred to as "Course Content").
You represent and agree to:
- Provide and maintain accurate account information.
- Own or have the necessary rights to allow ASTRx to use your Course Content as described in these Terms.
- Ensure your Course Content does not violate anyone else's intellectual property rights.
- Have the qualifications and expertise needed to teach the services you offer.
- Deliver a quality of service that meets industry standards.
You agree not to:
- Post any inappropriate, offensive, or misleading content.
- Send unsolicited advertising or spam through the Services.
- Use the Services for any purpose other than teaching and tutoring students.
- Engage in activities that would require us to pay royalties to third parties.
- Embed or frame the Services in a way that circumvents the platform.
- Impersonate someone else or access another person's account without permission.
- Interfere with other instructors' ability to provide their services.
- License Agreement for Course Content Submission
Overview
By submitting course content to our website, you grant us the rights to use, display, and distribute your content as outlined in this License Agreement. This agreement ensures that both you and our platform are protected and that your intellectual property rights are respected.
License Grant
By submitting your course content (including lectures, quizzes, assignments, and other materials), you grant us a non-exclusive, worldwide, royalty-free license to:
- Use, reproduce, and distribute your content on our platform.
- Modify and adapt your content for technical purposes, such as formatting or compatibility with our services.
- Publicly display your content to users of the platform.
Ownership
You retain all ownership rights to your submitted content. This agreement does not transfer any ownership rights to us or any third parties.
Representations and Warranties
By submitting content, you represent and warrant that:
- You are the original creator of the content or have the necessary rights and permissions to submit it.
- Your content does not infringe on any third-party intellectual property rights.
- You have the qualifications and expertise to provide the educational material you are submitting.
Course Content Standards
Your submitted content must adhere to our community guidelines. Specifically, you agree not to submit:
- Inappropriate or offensive material.
- Content that is false, misleading, or defamatory.
- Any unsolicited promotional materials or spam.
Termination
We reserve the right to remove any content that violates this agreement or our guidelines. You may also request the removal of your content at any time, and we will comply within a reasonable timeframe.
Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your content, including any alleged infringement of third-party rights.
Governing Law
This agreement is governed by the laws of Ontario, Canada. Any disputes arising from this agreement will be resolved in accordance with those laws.
By submitting your course content, you acknowledge that you have read, understood, and agree to the terms of this License Agreement.

Set Course Price
When creating a course with ASTRx, you have the flexibility to set a price that you believe accurately reflects the value of your course content. This allows you to take into consideration various factors, such as the depth of your material, the time and effort invested in creating the course, and the unique insights or skills you offer to students.
Foreign currency
When a student pays in a foreign currency, the amount will be converted to our platform's currency, USD. Please note that any currency conversion fees will be deducted from the instructor's payout.
Taxes
If a student purchases a product or service in a country that requires us to collect national, state, or local sales or use taxes, value-added taxes (VAT), or similar transaction taxes ("Transaction Taxes"), we will collect these taxes and remit them to the appropriate tax authorities as required by law. These taxes will be deducted from the instructor's payout.
Instructor payout share
When a student purchases access to your Course Content, we determine the gross sale amount as the total received by ASTRx from the student ("Gross Amount"). From this amount, we subtract any currency exchange fees and applicable taxes. After all deductions, you will receive 40% of the net amount that ASTRx retains.
